Acceptance of Terms
These Terms of Use (“Terms”) govern access to and use of the websites, products, and services provided by UR LEADS BV (“UR LEADS,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, do not use the services.
1) Definitions
Services: collectively, our Email Lists, Customer Support Agent, AI Receptionist, and Webdesign services, plus any related tools, dashboards, and support.
Client/you: the business entity or individual purchasing or using the Services.
Tier: a pricing level based on usage/volume as described on our pricing pages or order form.
2) Eligibility & Account
You represent that you have the authority to bind the company you act for. You are responsible for safeguarding logins, API keys, and any content you upload or connect.
3) Orders, Pricing, Billing & Taxes
Prices are listed in EUR unless stated otherwise and are exclusive of taxes. Applicable VAT or sales taxes will be charged where required.
We may update prices and Tiers from time to time. Changes apply prospectively and will be reflected on your next billing cycle unless otherwise stated.
Unless stated differently, billing periods are 30 days and all times are in Europe/Brussels.
4) Service-Specific Terms
4.1 Email Lists
Payment & Delivery. Payment is due before delivery. Delivery occurs via email to the address provided within 24 hours of purchase.
No Refunds. By paying the invoice you expressly agree that the purchase is non-refundable because the product is data that, once delivered, cannot be returned or revoked.
License & Restrictions. You receive a non-exclusive, non-transferable license to use the list solely for your own marketing. Resale, redistribution, or sharing of the list (in whole or in part) is strictly prohibited.
Compliance. You are solely responsible for complying with all applicable marketing, privacy, and anti-spam laws (including GDPR and e-privacy rules) when using the list.
4.2 Customer Support Agent (AI Agent)
Build & Go-Live. After you pay the agreed setup or initial amount, we build the automation; the building phase completes within 72 hours, then the Agent is set live.
Recurring Billing. From go-live, you are billed every 30 days for the Tier corresponding to your usage.
Usage Notifications. We will notify you when you reach approximately 50% and 90% of your monthly usage so you’re aware that your Tier may change.
Tier Rollover. If you end a month in a higher (or lower) Tier, your next month is billed at that new tier.
Cancellation. You may cancel, but it must be received at least 48 hours before the next renewal. Payments that have already been processed for the current period are non-refundable.
Client Responsibilities. You provide timely access to systems (e.g., helpdesk, inboxes, store backend) and remain responsible for your own policies, legal compliance, and the content of responses where you require custom scripts or knowledge bases.
4.3 AI Receptionist
Terms mirror the Customer Support Agent:
Build within 72 hours after initial payment; then the agent is set live.
30-day recurring billing by Tier with 50%/90% usage notifications.
Tier Rollover applies month-to-month.
Cancellation at least 48 hours before renewal; no refunds for the current paid period.
You must provide access/integrations (telephony, calendars, CRM) and ensure legal compliance for recordings, disclosures, and consent where applicable.
4.4 Webdesign
Deposit & Start. A 50% deposit is required before work begins.
Revisions. You are entitled to 5 revision rounds (reasonable scope; design/content tweaks). Additional rounds may be billed at our standard rates.
Completion & Final Payment. Upon completion and acceptance, the remaining 50% is due.
Early Termination by Client. If you stop after paying the deposit but before completion, a 20% fee (of the full project price) is charged to cover administrative and allocated production costs, in addition to the deposit already paid.
No Refunds after Delivery. Once the website is fully delivered and the total amount has been paid, no refunds are available.
5) Acceptable Use
You will not: (a) violate laws; (b) infringe IP or privacy rights; (c) transmit malware; (d) try to access systems without authorization; (e) resell or re-license our Services except as expressly permitted; or (f) use Email Lists other than for your own marketing.
6) Data Protection & Privacy
We process personal data as a controller and/or processor depending on the Service. See our Privacy Policy for details.
For integrations where we process on your behalf, we can provide a Data Processing Agreement (DPA) upon request.
You must have a lawful basis for any personal data you provide or instruct us to process.
7) Third-Party Services
Our Services may integrate with third-party platforms (e.g., email, telephony, CRM). Their terms and privacy policies apply to your use of those services. We are not responsible for third-party outages or changes.
8) Intellectual Property
All copyrights, trademarks, and other IP in our Services remain with UR LEADS or its licensors. Except for the license granted in §4.1 (Email Lists) and any deliverables expressly assigned in Webdesign contracts, no rights are transferred.
9) Service Availability & Changes
We aim to maintain high availability but do not guarantee uninterrupted service. We may modify or discontinue features with reasonable notice where feasible.
10) Warranties & Disclaimers
Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties (express or implied), including fitness for a particular purpose and non-infringement. Email Lists are provided without guarantee of accuracy, completeness, or specific results.
11) Limitation of Liability
To the fullest extent permitted by law, UR LEADS will not be liable for indirect, incidental, special, consequential, punitive damages, lost profits, loss of data, or business interruption. Our aggregate liability for any claim is limited to the amount paid by you to UR LEADS BV in the 3 months preceding the event giving rise to the claim.
12) Indemnification
You agree to indemnify and hold UR LEADS BV harmless from claims, damages, and costs (including reasonable legal fees) arising from your (a) misuse of the Services, (b) violation of these Terms, or (c) violation of laws or third-party rights.
13) Cancellation & Termination
We may suspend or terminate access if you breach these Terms, fail to pay, or pose a security/legal risk. Upon termination, your right to use the Services ceases; accrued payment obligations survive.
14) Force Majeure
We are not liable for failure or delay due to events beyond our reasonable control (e.g., internet/hosting failures, strikes, acts of government, war, natural disasters).
15) Changes to Terms
We may update these Terms from time to time. Material changes will be notified (e.g., email or in-app). Continued use after the effective date constitutes acceptance.
16) Governing Law & Dispute Resolution
These Terms are governed by the laws of Belgium. Courts of Antwerp shall have exclusive jurisdiction, without prejudice to mandatory consumer rights where applicable.
